Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your", or "Customer") and MV Test Solutions Ltd (trading as "MissedLeads"), a company registered in England and Wales (Company Number: 11803350), with its registered office at First Floor, 10 College Road, Harrow, United Kingdom, HA1 1BE (referred to as "we", "us", "our", or the "Company").

These Terms govern your access to and use of the MissedLeads platform, website, APIs, dashboards, email notifications, and any related services (collectively, the "Service").

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Service.

If you are entering into these Terms on behalf of a business, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Nature of the Service

MissedLeads provides an automated monitoring and notification service that detects potential changes to publicly available business listing information (the "Monitoring Service"). The User acknowledges and agrees to the following:

2.1 Notification Service Only

The Service is a secondary notification aid. It is not a guaranteed security service, insurance product, data integrity guarantee, or a primary source of truth for business listing information. The Service monitors publicly available data signals and notifies you when a potential change is detected. We strongly recommend that you independently verify all changes via the official Google Business Profile dashboard or other authoritative sources.

2.2 No Agency — Third-Party Data Disclaimer

User acknowledges that this service uses third-party data signals and is not affiliated with, endorsed by, sponsored by, or an official partner of Google LLC, Alphabet Inc., or any of their subsidiaries or affiliates.

MissedLeads is an independent monitoring tool. Google, Google Business Profile, Google Maps, and all related trademarks are the property of Google LLC. We do not claim any association, partnership, or agency relationship with Google.

Users shall not represent or imply to any third party that MissedLeads is operated by, endorsed by, or in any way connected with Google LLC.

2.3 "As-Is" and "As-Available" Basis

The Service provides monitoring based on publicly available search signals and third-party data feeds. Due to third-party caching, propagation delays, platform changes, and infrastructure factors beyond our control, the Service is provided on an "as-is" and "as-available" basis. It is intended as a secondary notification aid, not a primary source of truth.

2.4 Accuracy Disclaimer

This tool is a monitoring aid. We do not guarantee 100% accuracy of public search data and recommend verifying changes via the official Google dashboard.

While the Service uses multiple layers of detection (including internal API monitoring and external signal monitoring), no monitoring system can guarantee 100% detection of all changes at all times. Factors including but not limited to third-party platform propagation delays, Google's caching infrastructure, API rate limits, temporary outages, and search result variations may affect the completeness or timeliness of detection.

2.5 Neutral Reporting of Detected Changes

Where the Service detects a potential change to a monitored listing, it will report that "an unauthorised change was detected" or similar neutral language. The Service does not identify, name, accuse, or imply the identity of any person or entity responsible for any detected change. All alerts are factual observations of data changes and do not constitute allegations against any party.

3. No Absolute Guarantee of Detection

While MissedLeads employs multiple layers of monitoring technology (including internal API integration and external signal monitoring), the User acknowledges and accepts that:

  • The Service cannot guarantee 100% detection of all changes to all monitored listings at all times.
  • Detection may be delayed or incomplete due to third-party platform propagation delays, including but not limited to Google's caching mechanisms, CDN propagation, and search index update cycles.
  • Monitoring intervals are determined by the Service and may vary based on subscription tier, system load, and operational considerations.
  • The Service may, in rare cases, produce false positive alerts (reporting a change that has not occurred or has been reversed) or false negative results (failing to detect a change that has occurred).
  • No single monitoring service can replace direct, manual verification of business listing information via the official Google Business Profile dashboard.

The Service is expressly provided as a monitoring aid and supplementary notification tool. It is not a guarantee against data tampering, listing hijacking, or any form of unauthorised access to your business listing.

4. Third-Party Dependency

The User acknowledges and agrees that the Service depends on infrastructure, platforms, APIs, and data sources operated by third parties, including but not limited to Google LLC, cloud hosting providers, data signal providers, and payment processors.

The Company is not liable for:

  • Outages, interruptions, or degradation of the Service caused by changes to, outages of, or discontinuation of any third-party platform, API, or data source.
  • Changes to Google's terms of service, API access policies, search algorithms, caching behaviour, or data availability that may affect the Service's functionality.
  • Legal actions taken by any third party (including Google LLC) against data providers, API services, or other infrastructure upon which the Service depends.
  • Temporary or permanent unavailability of third-party data signals used for external monitoring.
  • Inaccuracies in data provided by third-party platforms or APIs.

In the event that a third-party dependency becomes unavailable or materially changes, we will use commercially reasonable efforts to adapt the Service, but we do not guarantee uninterrupted operation.

5. User Obligations

By using the Service, you agree to:

  • Provide accurate, current, and complete registration information and keep it up to date.
  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service.
  • Not use the Service to monitor listings for which you do not have a legitimate business interest or authorisation.
  • Not use automated tools, bots, or scripts to access the Service except through our official API where provided.
  • Not resell, redistribute, or sublicense access to the Service without our prior written consent.
  • Not use the Service in any manner that could damage, disable, overburden, or impair the Service.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised use.
  • Independently verify all changes reported by the Service via the official Google Business Profile dashboard or other authoritative sources before taking action.
  • Not use information obtained through the Service to make defamatory, libellous, or unsubstantiated claims against any person or entity.

6. Account, Subscription, and Payment

6.1 Registration

To use the Service, you must create an account by providing a valid email address and any other required information. You are responsible for all activity that occurs under your account.

6.2 Subscription Plans

The Service is offered under various subscription plans, which may include free trial periods. Details of current plans, features, and pricing are available on our website and may be updated from time to time.

6.3 Free Trial

If we offer a free trial, it is subject to these Terms. At the end of the trial period, your subscription may automatically convert to a paid plan unless you cancel before the trial expires. We will notify you before any charges are made.

6.4 Payment

Payments are processed securely by Stripe. By subscribing to a paid plan, you authorise us to charge the applicable fees to your chosen payment method. All fees are quoted in GBP (£) unless otherwise stated.

6.5 Cancellation and Refunds

You may cancel your subscription at any time via your account dashboard. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for unused portions of a billing period unless required by applicable law.

6.6 Price Changes

We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

All content, features, functionality, software, code, design, trademarks, logos, and other materials associated with the Service (collectively, "Our Content") are owned by or licensed to MV Test Solutions Ltd and are protected by UK and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes in accordance with these Terms. This licence does not include the right to:

  • Copy, modify, or create derivative works based on Our Content.
  • Use Our Content for any commercial purpose outside of your use of the Service.
  • Remove, alter, or obscure any proprietary notices.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, statutory, or otherwise.
  • We expressly disclaim all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, and non-infringement.
  • We do not warrant that the Service will be uninterrupted, error-free, timely, secure, or free from viruses or other harmful components.
  • We do not warrant that the results obtained from the Service will be accurate, reliable, or complete.
  • We do not warrant that the Service will detect all changes, all unauthorised modifications, or all threats to your business listings.
  • We make no representations or warranties regarding the actions, conduct, or policies of any third party, including Google LLC.

Nothing in these Terms excludes or limits any warranty that cannot lawfully be excluded or limited under the laws of England and Wales.

9. Limitation of Liability

This is a critical section. Please read it carefully.

9.1 Exclusion of Certain Liabilities

Nothing in these Terms shall exclude or limit the Company's liability for:

  • Death or personal injury caused by the Company's negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under the laws of England and Wales.

9.2 Cap on Financial Liability

Subject to Clause 9.1, the Company's total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of:

  • (a) the total fees actually paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the claim; or
  • (b) one hundred pounds sterling (£100), whichever is greater.

This cap applies per claim and in the aggregate for all claims arising under or in connection with these Terms.

9.3 Exclusion of Consequential Loss

Subject to Clause 9.1, in no event shall the Company be liable to you for any:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, business, anticipated savings, or goodwill (whether direct or indirect).
  • Loss of data or data corruption.
  • Loss of opportunity or contracts.
  • Business interruption.
  • Losses arising from reliance on the Service as a sole or primary source of truth for business listing data.
  • Losses arising from any false positive alert (a notification of a change that did not occur or was reversed) or false negative result (a failure to detect a change that did occur).
  • Losses arising from any delay in detection of a change to a monitored listing.
  • Losses arising from actions taken or not taken by you in response to any alert or notification from the Service.

This applies regardless of the cause of action, whether arising from breach of contract, tort (including negligence), strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages.

9.4 Acknowledgement of Risk

The User acknowledges that:

  • The fees payable for the Service reflect the allocation of risk set out in these Terms.
  • The limitations and exclusions of liability in this Section 9 are reasonable given the nature of the Service and the fees charged.
  • The Service monitors publicly available data and the User retains sole responsibility for the accuracy and security of their business listings.

10. Indemnification

You agree to indemnify, defend, and hold harmless MV Test Solutions Ltd, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of or access to the Service.
  • Your breach of these Terms.
  • Your violation of any applicable law or regulation.
  • Any claims made by you against third parties based on information obtained through the Service.
  • Any allegation that your use of the Service infringes the rights of any third party.

11. Suspension and Termination

We may suspend or terminate your access to the Service, without prior notice, if:

  • You breach any provision of these Terms.
  • We reasonably suspect fraudulent, abusive, or illegal activity on your account.
  • Your payment method fails and you do not resolve the issue within a reasonable period.
  • Continued provision of the Service becomes unlawful or impracticable.
  • A third-party dependency (including Google or any data provider) takes action that prevents us from operating the Service.

Upon termination, your right to access the Service ceases immediately. We may retain your data for the periods set out in our Privacy Policy.

12. Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government actions or orders, strikes, fire, flood, power failure, internet or telecommunications failure, changes to third-party platforms or APIs (including Google), cyberattacks, and any other event beyond the Company's reasonable control.

13. Data Protection

We process personal data in accordance with the UK GDPR, the Data Protection Act 2018, and the Data (Use and Access) Act 2025. Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

We are registered with the Information Commissioner's Office (ICO) as a data controller.

14. Communications and Notifications

By using the Service, you consent to receiving electronic communications from us, including email alerts, account notifications, and service-related updates. These communications form part of the Service and may not be opted out of while you maintain an active account.

Marketing communications are separate and require your explicit consent. You may opt out of marketing communications at any time.

15. Modifications to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you by email or by prominently posting a notice on our website at least 30 days before they take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

16. Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice. We will use reasonable efforts to provide advance notice of material changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Notwithstanding the foregoing, nothing in these Terms prevents the Company from seeking injunctive or other equitable relief in any court of competent jurisdiction.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Service. They supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

20. Waiver

No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A single or partial exercise of any right, power, or remedy does not preclude any other or further exercise of that right or the exercise of any other right.

21. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate or successor entity without your consent.

22. Third-Party Rights

These Terms do not confer any rights on any person or party (other than the parties to these Terms) pursuant to the Contracts (Rights of Third Parties) Act 1999 or otherwise.
